Virgin Media O2 bonds slide amid intense UK telecoms competition
Virgin Media O2 (VMED) bonds have sold off as intense competition in UK broadband drives customer losses and weighs on average revenue per user (ARPU) and earnings. The decline accelerated on October 2, when the Competition and Markets Authority (CMA) issued provisional findings against the Netomnia transaction, putting around £950 million of net proceeds earmarked for debt repayment at risk.
The sell-off took some unsecured bonds down around 30 points into the mid-30s, while secured paper fell roughly 15 points into the low 70s. It followed another weak quarter: VMED lost 28,200 broadband customers in Q2 and reported year-over-year declines of 4.6% in fixed ARPU and 5.1% in revenue.
With roughly £22 billion of debt, VMED has one of Europe’s largest leveraged capital structures. Our August sum-of-the-parts analysis assessed the assets supporting that debt, valuing the fixed network, mobile business, business services and tower stake separately to test how different assumptions would affect recoveries for each creditor class.
As operators turn to consolidation to ease competitive pressure, our UK telecoms regulatory analysis used the CMA’s Netomnia findings to explore the limits of that strategy. It covers how regulators assess customer access and competition, and why decisions aimed at protecting consumers can come at creditors’ expense.
A follow-up analysis examined what a blocked deal would mean for VMED’s deleveraging plans and found the transaction would do little for medium-term net leverage. The roughly £950 million of net upfront proceeds would reduce debt, but rising wholesale payments to nexfibre would depress EBITDA and largely offset the benefit. Without the deal, VMED would carry more debt but generate higher EBITDA, leaving 2029 net leverage broadly similar in our base scenarios.
The shareholders in nexfibre have since decided not to submit remedies to the CMA. That matches our expectation that the parties would struggle to craft a deal that stayed attractive after the changes needed for regulatory approval.
Third-quarter results on November 3 will show whether customer losses and ARPU pressure are easing. Investors will also look to management for more clarity on the 2027 outlook and on how it might tackle an over-levered capital structure. The CMA’s final decision, due by December 15, will settle whether the Netomnia transaction can proceed.
