The Restructuring Opportunity in Brightline Florida’s $5.5B Cap Stack

Brightline Florida has secured a further short-term extension to this Friday, Aug. 14, of a mandatory tender deadline and two interest payment grace periods. The move is the latest in a series of rolling extensions that began in February and have shortened to a weekly cadence since late July.

Liquidity pressures, the company’s acknowledgment that a restructuring may be required, the short leash of weekly extensions, and reports of a possible bankruptcy filing by summer’s end open myriad opportunities for restructuring professionals. But information on stakeholders and their advisors remains limited and diffuse.

To aid subscribers in their business development efforts, the team behind Octus’ Municipals offering, which has been covering Brightline since 2021, undertook a survey of reported and potential restructuring engagements, including new opportunities that could arise in the event of a chapter 11 filing.

These include engagements with bondholders and noteholders across the company’s $5.5 billion capital structure, serving as or representing a railroad trustee in bankruptcy, and advising official and unofficial committees. Ancillary litigation and the potential for an in-court or out-of-court restructuring beyond the Brightline Florida silo implicating sister project Brightline West, which shares a corporate parent and faces headwinds in its own efforts to raise $21 billion in funding, could add further mandates.

We continue to push for new stakeholder and engagement details, and since publishing the survey have confirmed the identity of bondholder BlackRock’s legal counsel. Stay tuned for further coverage of what is shaping up to be one of the most significant and complex restructurings of a municipal revenue bond-backed project to date.
