API Services Terms

1. RELATIONSHIP TO MAIN AGREEMENT AND ORDER FORM
These API Services Terms apply to any APIs made available to You by Octus Intelligence, Inc. or its Affiliates (collectively “Octus”), in each case either provided by Octus, Snowflake Inc. or Databricks, Inc. The APIs shall be considered Services as defined in the Master Terms, Terms of Use or any other applicable agreement(s) governing Your use of Octus’ Platform or Services (referred to as the “Agreement” herein) and are subject to the terms of the Agreement, except as expressly modified or supplemented by these API Services Terms. To the extent that there is any conflict between these API Service Terms and other agreements, please note the order of precedence is as follows: the Order Form, these API Services Terms, any Service Specific Terms, the Master Terms and the Terms of Use. All capitalized terms used herein without definition will have the same meanings set forth in the Master Terms or Terms of Use.
2. LICENSE GRANT
Subject to Your compliance with these API Services Terms, Octus grants You and if applicable under the Agreement Your Authorized Users, a limited, non-exclusive, personal, revocable, non-sublicensable, non-transferable right and license to internally access and use the APIs during Your applicable subscription term or during the term of Your trial access in the case of Trial Users, for your internal business purposes, only as provided herein.
3. INTELLECTUAL PROPERTY RIGHTS
As between the Parties, Octus retains all right, title, and interest in and to the APIs and all software, products, works, and other intellectual property and moral rights related thereto or created, used, or provided by Octus for the purposes of the APIs, including any copies and derivative works. No rights or licenses are granted except as expressly set forth herein.
4. TECHNICAL USAGE PARAMETERS
4.1 Rate Limiting. API calls are subject to rate limits as communicated by Octus. Exceeding these limits may result in temporary suspension. For APIs, Your rate limit depending on which API(s) You are subscribed to is set forth at api.octus.com.
4.2 Data Volume. You may retrieve up to the data volume limits specified in Your subscription or as otherwise communicated by Octus.
5. AUTHENTICATION AND SECURITY
5.1 API Keys. You are responsible for maintaining the confidentiality of Your API keys and for all activities that occur under Your API keys.
5.2 Security Requirements. In accordance with Section 2(c) of the Master Terms and Section 5 of the Terms of Use, You must implement appropriate security measures to protect Your API credentials and prevent unauthorized access to the APIs.
6. PROHIBITED ACTIVITIES
You shall not (and shall not permit any third party to) directly or indirectly:
(i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the APIs (except to the extent applicable laws specifically prohibit such restriction);
(ii) modify, translate, or create derivative works based on the APIs or any data or content obtained through the APIs (such data or content, “Octus Content”);
(iii) copy, rent, lease, distribute, pledge, assign, or otherwise transfer or encumber rights to the APIs;
(iv) use the APIs for the benefit of a third party;
(v) remove, obscure, destroy or otherwise alter any proprietary notices or labels from the APIs or any portion thereof;
(vi) use the APIs to build or otherwise assist in the development of any models, tools, technology, compilations, databases, applications, offerings, products or services that are competitive with Octus or any Octus offerings, or permit any third party to permit any of the foregoing;
(vii) use the APIs in a manner that Octus reasonably determines may exceed reasonable request volume (as set forth in Section 4), constitute excessive or abusive usage, or otherwise fail to comply with any part of the APIs, or permit any third party to permit any of the foregoing;
(viii) interfere or attempt to interfere with the proper working of the APIs or any activities conducted on the APIs;
(ix) bypass any measures Octus may use to manage, inhibit, prevent or restrict access to the APIs (or other accounts, computer systems or networks connected to the APIs);
(x) use the APIs, or any Octus Content, to train, fine-tune, or otherwise develop any machine learning models, AI systems, algorithms, or automated decision-making technologies, or to create derivative datasets for such purposes, unless You have an enterprise subscription to the APIs, in which case You are granted a limited ability to apply AI technology as described in Section 8 (Product-Specific Rights) below; or
(xi) use any automated collection methods, including web scraping, email harvesting, bot access, or similar technologies, to obtain Octus Content from sources other than the APIs, or otherwise circumvent API rate limits or access controls.
You are responsible for all of Your activity in connection with the APIs.
7. DATA USAGE RIGHTS
7.1 Permitted Uses. Data retrieved through the APIs may be used solely for Your internal business purposes as permitted under the Agreement and as set forth below.
(i) If Your subscription includes enterprise access to Octus Intel API (an “Enterprise Intel API Subscription”), then You and Your Authorized Users are permitted to perform the following activities with the Octus Content: (a) internal storage (based on any specific history limits defined in the Agreement), (b) internal redistribution (e.g. via internal dashboards), (c) customer application development (e.g. Excel plug-ins and web development), and (d) quant-based model analytics and trading signal generation.
(ii) If Your subscription includes Octus Intel API without enterprise access, then You are solely permitted to perform the following activities with the Octus Content: display article headlines and web addresses on Your internal intranets.
(iii) If Your subscription includes FinDox API (a “FinDox API Subscription”), then You and Your Authorized Users are permitted to conduct internal document retention with the Octus Content or Underlying Documents.
(iv) If Your subscription includes Fundamentals API (a “Fundamentals API Subscription”), then You and Your Authorized Users are permitted to perform the following activities with the Octus Content: (a) internal data retention, (b) client data aggregation (including the population of internal databases and external portfolio management tools) for portfolio management and risk management purposes, and (c) quant-based model analytics (training, idea generation, screening and signals).
(v) If Your subscription includes ESG API (an “ESG API Subscription”), then You and Your Authorized Users are permitted to conduct internal data retention with the Octus Content.
(vi) If Your subscription includes Deal Term Analytics API (a “Deal Terms Analytics API Subscription”), then You and Your Authorized Users are permitted to perform the following activities with the Octus Content: (a) internal data retention and (b) client data aggregation (including the population of internal databases and external portfolio management tools) for portfolio management and risk management purposes.(vii) If Your subscription includes Structure Finance Insights API (a “SFI API Subscription”), then You and Your Authorized Users are permitted to perform the following activities with the Octus Content: (a) internal data storage, (b) internal redistribution and (c) analytics on integrated data use.
7.2 Attribution. If displaying data obtained through the APIs, not including Customer Data, You must include attribution to Octus as the data source.
7.3 Third-Party Integration. You may transmit API data to third-party platforms solely for: (i) internal portfolio management, analytics, workflow, reporting, or compliance systems; or (ii) other platforms permitted by Octus in writing, provided, however, You must (a) notify Octus 10 business days before implementation; (b) require third parties treat Octus Content as confidential and ensure such third parties use Octus Content solely to provide services to You; (c) remain fully liable for third-party use of Octus content; and (d) prevent third parties from using Octus Content to train AI models (unless permitted in Section 8) or creating products competitive with Octus. You may not transmit Octus content to public-facing platforms, data aggregation/redistribution services, or any platform Octus disallows at its discretion.
7.4 Compliance Responsibilities. You acknowledge that data and documents accessed through the APIs may be subject to confidentiality restrictions, material non-public information regulations, securities laws, or other legal restrictions. You are solely responsible for (i) determining what restrictions apply; (ii) implementing appropriate controls and information barriers; and (iii) ensuring compliance with all applicable restrictions, including by any third party to whom You transmit such data. You shall indemnify Octus from any Losses arising from Your or any Authorized User’s or any third party’s breach of confidentiality restrictions, material non-public information violations, or other regulatory violations related to data accessed through the APIs.
8. PRODUCT-SPECIFIC RIGHTS
8.1 Use of AI Tools. If Your subscription includes an Enterprise Intel API Subscription, a FinDox API Subscription, a Fundamentals API Subscription, an ESG API Subscription, and/or a Deal Terms Analytics API Subscription that specifically permits the use of AI training (as set forth in the applicable Order Form), then You and Your Authorized Users are permitted to use the third-party AI tools listed in Section 8.2 (each, a “Permitted AI Tool” and collectively, the “Permitted AI Tools”), to query Octus Content for the Permitted Uses set forth in Section 8.4, subject to the conditions of use set forth in Section 8.3. Except as expressly permitted by these API Service Terms, no use of any Permitted AI Tool to train, fine-tune, retrain, or update the weights or parameters of any AI or machine learning model using Octus Content is permitted.
If Your subscription includes Octus Intel API without enterprise access, a FinDox API Subscription, Fundamentals API Subscription, ESG API Subscription, Deal Terms Analytics API Subscription, or SFI API Subscription that does not specifically permit the use of Permitted AI Tools (as set forth in the applicable Order Form), then You are solely permitted to display article headlines and web addresses on Your internal intranets notwithstanding anything to the contrary.
8.2 Permitted AI Tools. The third-party AI tools permitted for use under an Enterprise Intel API Subscription, FinDox API Subscription, Fundamentals API Subscription, ESG API Subscription, Deal Terms Analytics API Subscription, and/or SFI API Subscription, subject to the requirements of Section 8.3 below are set forth at app.octus.com/v3#/AI-permitted-tools.
Inclusion of any third-party AI tool on the list of Permitted AI Tools reflects only that its use is permitted; it does not constitute an endorsement, recommendation, or warranty of such third-party AI tool by Octus. Octus reserves the right to amend the list of Permitted AI Tools at any time upon written notice to You.
8.3 Conditions of Use. Your use of any Permitted AI Tool in connection with the APIs is conditioned upon the following:
(i) You must have a valid and current enterprise license directly with the provider of each Permitted AI Tool You elect to use. Use of any Permitted AI Tool under a free-tier or non-enterprise license is expressly prohibited.
(ii) All use of Permitted AI Tools in connection with data obtained through the APIs must occur exclusively within a single-tenant, dedicated deployment environment. Use within shared, multi-tenant, or public-facing environments is strictly prohibited. You are responsible for ensuring that Your deployment architecture satisfies this requirement prior to and throughout any use.
(iii) You must implement and maintain technical and organizational measures sufficient to ensure that data obtained through the APIs is not transmitted to, ingested by, used to train, or otherwise accessible by any publicly available AI model or shared environment. Without limiting the foregoing, You must ensure that any Permitted AI Tool is configured to prevent data obtained through the APIs from being used for model training, fine-tuning, or product improvement by the applicable third party provider.
(iv) You must ensure that with use of any Permitted AI Tool, the provider of such Permitted AI Tool is contractually prohibited from utilizing any Octus Content to train its own or any other third party’s technology, language or AI models, or offerings.
(v) Access to the data obtained through the APIs processed with a Permitted AI Tools is limited to Your Authorized Users. You shall not make the outputs, results or any directed content generated through the use of a Permitted AI Tool in connection with the APIs available to anyone who is not an Authorized User.
8.4 Permitted Uses with Permitted AI Tools. Authorized Users may use Permitted AI Tools in connection with the Octus Content to perform the following activities (collectively referred to as the “Permitted Uses”):
(i) Summarization (automated condensation of Octus Content into summaries for internal review);
(ii) Semantic search (natural language querying and retrieval of Octus Content);
(iii) Q&A and retrieval-augmented generation interfaces (interactive querying of Octus Content for purposes of risk analysis, investment research, competitor intelligence, market trends, and sentiment analysis);
(iv) Content personalization and alerting (configuration of personalized data feeds, digests and alert workflows based on Octus Content;
(v) Signal extraction (identification and extraction of structured signals, indicators, or insights from Octus Content);
(vi) Internal model training (use of Octus Content to train or fine-tune AI or machine learning models that are proprietary to You and deployed solely within Your internal, non-public environment, subject to any additional restrictions set forth in the Agreement), provided, however, Octus gives You express permission for such internal model training; and
(vii) Internal drafting support (AI-assisted drafting of Your internal work product, analyses, memoranda, and reports based on Octus Content).
8.5 Prohibited Uses with Permitted AI Tools. Notwithstanding any other Permitted Use set forth in this Section 8, You shall not use any Permitted AI Tool in connection with the APIs, the Octus Content, or any output, derivative, or insight generated therefrom, to design, develop, train, benchmark or otherwise create or improve any product, service, software, dataset, or AI model that competes, directly or indirectly, with Octus or any Octus product or Services, including without limitation any financial data, credit intelligence, leveraged finance, distressed debt, or market intelligence platform or tool (each, a “Competing Product”). For the avoidance of doubt, the internal model training use case permitted under Section 8.4(vi) does not authorize the development of any Competing Product, and any model trained using Octus Content shall be used solely for Your internal business purposes and shall not be commercialized, sublicensed, or made available to any third party. Any use of the APIs, Octus Content or Permitted AI Tools that Octus reasonably determines to be directed at creating or enhancing a Competing Product shall constitute a material breach of the Agreement.
Octus makes no representations or warranties with respect to any Permitted AI Tool. You are solely responsible for ensuring that Your use of any Permitted AI Tool complies with the applicable provider’s terms of service, your enterprise license agreement with such provider, and all applicable laws and regulations, including those relating to data privacy and security. Octus shall have no liability arising out of or relating to Your use of any Permitted AI Tool.
Any use of a Permitted AI Tool in violation of this Section 8 shall constitute a material breach of the Agreement and may result in immediate suspension or termination of Your subscription, in addition to any other remedies available to Octus at law or in equity.
9. MONITORING AND TRANSPARENCY
Octus monitors API usage for security, performance, and compliance purposes. This monitoring includes metadata such as request volumes, timestamps, and endpoints accessed.
10. API CHANGES
Octus may modify the APIs at any time. For material changes that would reasonably break existing integrations, Octus will provide 30 days’ advance notice via email to a designated technical contact. Octus may implement emergency changes immediately for security, legal compliance, or abuse prevention purposes. Octus has no obligation to maintain backwards compatibility.
11. TERMINATION.
Upon termination of the APIs or the Agreement, You must: (i) immediately cease all use of the APIs, (ii) promptly upon written request from Octus following such termination, delete any cached or stored Octus Content, and (iii) upon request, provide written certification of compliance with these deletion requirements.
If Your Subscription included FinDox API, Fundamentals API, ESG API, and/or Deal Term Analytics API, You may, on a confidential basis in accordance with the confidentiality obligations of the Agreement, retain limited copies of such Octus Content solely to the extent required: (x) by Customer’s bona fide internal record retention policy or (y) for regulatory and legal compliance reasons, that are, in each case, not used for any other purpose.
If Your Subscription included Octus Intel API, You have two years of access to historical data commencing from the start date of the Subscription Term via the API feed. You must expunge the Octus Intel API feed data older than Your subscribed historical data period within five days following each calendar quarter end, and provide written confirmation, email to suffice, to Your Account Representative. For the avoidance of doubt, this expungement obligation only applies to the API feed; You are not required to expunge content that is incorporated into Your work product.
12. DISCLAIMER AND LIABILITY LIMITATION
12.1 Warranty Disclaimer. The APIs are provided “as is” and “as available” and are without warranty of any kind, express or implied, including, but not limited to, the implied warranties of title, non-infringement, merchantability and fitness for a particular purpose, and any warranties implied by any course of performance, usage of trade, or course of dealing, all of which are expressly disclaimed.
12.2 Liability Limitation. IN NO EVENT SHALL OCTUS, NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS BE LIABLE UNDER NEGLIGENCE, TORT, CONTRACT, STRICT LIABILITY OR ANY OTHER LEGAL OR EQUITABLE THEORY OF LIABILITY WITH RESPECT TO THE APIS FOR ANY (I) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE OR (II) LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY LOSS OR DAMAGES (HOWEVER ARISING).
13. INDEMNIFICATION
You shall defend Octus against any claim, demand, suit, or proceeding brought against Octus by a third party arising from Your use of the APIs in violation of these API Services Terms or the Agreement and indemnify Octus from any damages, attorneys’ fees, and costs arising from or relating to any of the foregoing.
