Octus API Services Terms

1. RELATIONSHIP TO MAIN AGREEMENT

These terms (“API Services Terms”) apply to any API services made available to You by Octus Intelligence, Inc. or its affiliates (collectively “Octus”). The API Services shall be considered Services as defined in the User Agreement, Terms of Use or other applicable agreement(s) governing Your use of Octus’s Platform or Services (referred to as the “Agreement” herein) and are subject to the terms of the Agreement, except as expressly modified or supplemented by these API Services Terms.

2. LICENSE GRANT

Subject to Your compliance with these API Services Terms, Octus grants You and if applicable under the Agreement Your Authorized Users, a non-exclusive, limited, personal, non-sublicensable, non-transferable right and license to internally access and use the API Services during Your applicable subscription term or during the term of Your trial access in the case of Trial Users, for your internal business purposes, only as provided herein.

3. INTELLECTUAL PROPERTY RIGHTS

As between the parties, Octus retains all right, title, and interest in and to the API Services and all software, products, works, and other intellectual property and moral rights related thereto or created, used, or provided by Octus for the purposes of the API Services, including any copies and derivative works. No rights or licenses are granted except as expressly set forth herein.

4. TECHNICAL USAGE PARAMETERS

4.1 Rate Limiting. API calls are subject to rate limits as communicated by Octus. Exceeding these limits may result in temporary suspension. For Octus Intel API, Your rate limit shall not exceed one request per second.

4.2 Data Volume. You may retrieve up to the data volume limits specified in Your subscription or as otherwise communicated by Octus. For Octus Intel API, Your batch size should be limited to 1000 data items.

5. AUTHENTICATION AND SECURITY

5.1 API Keys. You are responsible for maintaining the confidentiality of Your API keys and for all activities that occur under Your API keys.

5.2 Security Requirements. In accordance with Section 2(c) of the Master Services Agreement, You must implement appropriate security measures to protect Your API credentials and prevent unauthorized access to the API Services.

6. PROHIBITED ACTIVITIES

You shall not (and shall not permit any third party to) directly or indirectly:
(i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the API Services (except to the extent applicable laws specifically prohibit such restriction);

(ii) modify, translate, or create derivative works based on the API Services;

(iii) copy, rent, lease, distribute, pledge, assign, or otherwise transfer or encumber rights to the API Services;

(iv) use the API Services for the benefit of a third party;

(v) remove or otherwise alter any proprietary notices or labels from the API Services or any portion thereof;

(vi) use the API Services to build an application or product that is competitive with any Octus product or service;

(vii) interfere or attempt to interfere with the proper working of the API Services or any activities conducted on the API Services;

(viii) bypass any measures Octus may use to prevent or restrict access to the API Services (or other accounts, computer systems or networks connected to the API Services);

(ix) use the API Services, or any data obtained through the API Services, to train, fine-tune, or otherwise develop any machine learning models, AI systems, algorithms, or automated decision-making technologies, or to create derivative datasets for such purposes, unless You have an enterprise subscription to Octus Intel API, in which case You are granted a limited ability to apply AI technology as described in Section 7.2 (Enterprise Intel Subscribers) below; or
(x) use any automated collection methods, including web scraping, email harvesting, bot access, or similar technologies, to obtain Octus data from sources other than the API Services, or otherwise circumvent API rate limits or access controls.
You are responsible for all of Your activity in connection with the API Services.

7. DATA USAGE RIGHTS

7.1 Permitted Uses. Data retrieved through the API Services may be used solely for Your internal business purposes as permitted under the Agreement.

7.2 Enterprise Octus Intel Subscribers. If Your subscription includes enterprise access to Octus Intel API, then You are permitted to use Your internal AI tools to perform the following activities: summarisation; semantic search; Q&A interfaces (RAG) for risk analysis, investment research, competitor intelligence, market trends, sentiment analysis; content personalisation and alerting; signal extraction; training of Your internal LLM’s; and drafting support for Your internal work product.

7.3 Non-Enterprise Octus Intel Subscribers. If Your subscription includes Octus Intel API without enterprise access, then You are permitted to display article headlines and URL’s on Your internal intranets notwithstanding anything to the contrary.

7.4 Attribution. If displaying data obtained through the API Services, You must include attribution to Octus as the data source.

8. MONITORING AND TRANSPARENCY

Octus monitors API usage for security, performance, and compliance purposes. This monitoring includes metadata such as request volumes, timestamps, and endpoints accessed.

9. API CHANGES

Octus may modify the API Services at any time. For material changes that would reasonably break existing integrations, Octus will provide 30 days advance notice via email to a designated technical contact. Octus may implement emergency changes immediately for security, legal compliance, or abuse prevention purposes. Octus has no obligation to maintain backwards compatibility.

10. TERMINATION

Upon termination of the API Services or the Agreement, You must (i) cease all use of the API Services and (ii) within 30 days delete any cached or stored content.

11. DISCLAIMER AND LIABILITY LIMITATION

11.1 Warranty Disclaimer. The API Services are provided “as is” and “as available” and are without warranty of any kind, express or implied, including, but not limited to, the implied warranties of title, non-infringement, merchantability and fitness for a particular purpose, and any warranties implied by any course of performance, usage of trade, or course of dealing, all of which are expressly disclaimed.

11.2 Liability Limitation. In no event shall Octus, or its subsidiaries, affiliates, shareholders, members, directors, officers, employees, agents, representatives, licensors, successors, and assigns be liable under negligence, tort, contract, strict liability or any other theory of liability with respect to the API Services for any (i) bugs, viruses, trojan horses, or the like or (ii) lost profits, lost savings, lost revenues, lost business, data loss or indirect, consequential, special, incidental, punitive, or exemplary loss or damages (however arising).

12. INDEMNIFICATION

You shall defend Octus against any claim, demand, suit, or proceeding brought against Octus by a third party arising from Your use of the API Services in violation of these API Services Terms or the Agreement and indemnify Octus from any damages, attorneys’ fees, and costs arising from or relating to any of the foregoing.
