Investindustrial Prepping Approx. $3B Bid to Take TreeHouse Foods Private

London-based private equity firm Investindustrial is preparing an approximately $3 billion bid to take Oak Brook, Ill.-based food processing company TreeHouse Foods private, sources told Octus.

Goldman Sachs is representing TreeHouse Foods, which specializes in producing private-label packaged foods with 26 production facilities across the United States and Canada, the sources said.

Investindustrial is considering both bank and direct lending financing to back the potential buyout, according to sources.

For the 12 months ended June 30, TreeHouse Foods reported adjusted EBITDA of $351 million. See the company’s capital structure below.

The potential delisting process is still ongoing with a deal yet to be finalized, the sources stressed, noting that other bidders could emerge.

TreeHouse Foods has a market cap of about $803 million. The company trades on the New York Stock Exchange under the ticker THS. Its share price was quoted at about $15.91 a share at the time of writing.

Investindustrial, which specializes in funding medium-sized companies, already owns some TreeHouse Foods assets. The investment firm acquired significant portions of the company’s meal preparation business in 2022, according to an announcement.

The firm primarily invests in industrial manufacturing, consumer, and healthcare and services companies, according to its website. In the consumer market, Investindustrial bought a majority stake in Italian food chain Eataly in September 2022.

Goldman Sachs declined to comment. Investindustrial could not be reached for comment, and TreeHouse Foods did not return a request for comment.
